Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Zatanna website and services provided by NoPoll Inc. ("Zatanna", "we", "us", or "our"). By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, do not use the website or services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Use of the services

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use our website and services for your internal business purposes, subject to these Terms.

You agree not to misuse the services, including by attempting to access them through unauthorized means, interfering with their normal operation, reverse-engineering non-public components, or using them in violation of applicable law or the rights of others.

Our services help you access and automate workflows across software portals and systems you are authorized to use. You represent and warrant that you have all necessary rights, authority, and permissions to connect those systems and to have us access, process, and transmit the associated data on your behalf.

You are responsible for ensuring your use of the services complies with the terms, policies, and applicable laws governing the third-party systems you connect.

Intellectual property

The website, services, and all related software, content, and materials are owned by Zatanna or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights, title, and interest in and to the services. Fees

If you purchase a paid plan or service, you agree to pay the applicable fees as described in your order or agreement with us. Unless otherwise stated, fees are non-refundable. We may change our fees on a going-forward basis with reasonable notice.

The website and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or completely secure.

Limitation of liability

To the maximum extent permitted by law, Zatanna and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services. Our total liability for any claim arising out of or relating to these Terms or the services will not exceed the amounts you paid to us in the twelve months preceding the claim.

Termination

You may stop using the services at any time. We may suspend or terminate your access to the services if you breach these Terms or as otherwise necessary to protect the services or comply with law. Provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the website or other appropriate means. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located there, unless otherwise required by applicable law.
